What is an S.L.?
The Sociedad Limitada (S.L.) is the most popular company form in Spain and comparable to a UK private limited company. It is a separate legal entity – so in principle you are only liable with the company's assets.
Since 2022, a company can be formed with a minimum share capital of just €1. Until it reaches €3,000, special rules on reserves and liability apply.
An S.L. is worthwhile, for example, if you:
- want to separate your private assets from business risks
- want to start a business with partners
- want to hold property through a company
- expect higher profits and want to plan your taxes
How to set up your S.L.

We reserve the company name at the Registro Mercantil Central, apply for NIEs for all shareholders and prepare the articles of association.
The deed of incorporation is signed before a Spanish notary – in person or by power of attorney.
Entry in the company register, final NIF and registration with the tax office – then you're ready to go.
